Hobbyists only get limited distribution, meaning if you don't pay them $25, you only get a limited number of installs. This is super worrying for open-source developers that can't afford to pay full price for many apps. Ich arbeite in einem mittelständischen Betrieb, der Aufgrund langjähriger Managementfehler kurz vor der #Insolvenz verkauft/verschenkt wurde und von einer Firma übernommen wurde, die auf Insolvenzen spezialisiert sind.Unsere Firma besteht aus
- einer Holding GmbH, der die Immobilien gehören,
- einer Produktions-AG mit ehemaligem Direktvertrieb / in Umstellung auf Händlervertrieb / einem Export weiter im Direktvertieb,
- einer weiteren Produktions GmbH,
- und einer Vertriebs AG in der Schweiz, die auch Österreich und Frankreich mit abdeckt,
- einer Service GmbH.Die Käufer haben die Firma analysieren lassen und die beiden Produktionsfirmen und die Servicefirma in die Insolvenz geschickt; die beiden Produktionsfirmen in Eigenverwaltung und die Servicegesellschaft in Abwicklung.
Die Holding ist deutlich verschuldet, aber nicht in Insolvenz, genau wie die schweizer Vertriebsgesellschaft.Die operative Leitung wurde bisher von einem eingesetzten Management geleitet, die auch Interesse daran hatten die komplette Gruppe zu übernehmen, was aber kurz vor Abschluss des Kaufs doch geplatzt ist, weil die Besitzer nach jeder Verhandlung mehr Geld sehen woll(t)en.
Im Betriebsrat ist die Idee entstanden die Firma durch die Mitarbeiter selbst zu übernehmen und in einen #Genossenschaft umzuwandeln. Wir sehen das Potential, dass die Firma weiter funktionieren kann, wenn nicht immer Besitzer da sind, die immer Gelder aus der Firma herausziehen.
Und an dieser Stelle suche ich Hilfe. Kennt jemand einen #Verein und/oder #Anwalt mit dem nötigen Wissen in Insolvenzrecht und Genossenschaftsrecht, der so etwas schon mal erfolgreich durchgezogen hätte und auch für eine erste Beratung bereit stände?
